Agreement to Terms

Welcome to iWantIt! These Terms of Service ("Terms") govern your access to and use of the iWantIt mobile application and services (collectively, the "Services"). By downloading, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

Eligibility

To use iWantIt, you must:

• Be at least 18 years old or of legal age in your jurisdiction
• Be a currently enrolled student at an accredited university or college
• Have a valid university email address (.edu domain or equivalent)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations

We reserve the right to verify your student status at any time. Failure to maintain eligibility may result in suspension or termination of your account.

Account Registration and Security

When you create an account with iWantIt, you agree to:

• Provide true, accurate, current, and complete information about yourself
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Not share your account with others or create multiple accounts

You may not use another person's account, impersonate another person, or use a false identity. We reserve the right to suspend or terminate accounts that violate these requirements.

Services Overview

iWantIt provides the following services to verified students:

Marketplace

A platform for buying and selling goods and services within your student community. We facilitate connections between buyers and sellers but are not a party to any transactions.

Forum

A community discussion platform where students can ask questions, share information, and engage in conversations relevant to student life.

Events

A calendar and registration system for campus events, activities, and gatherings organized by students, clubs, and university partners.

Deals

Exclusive student discounts and promotions from local businesses and our partners.

User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Posting false, misleading, or fraudulent content or listings
• Engaging in harassment, bullying, or hate speech
• Selling or promoting illegal goods, services, or activities
• Infringing on intellectual property rights or copyrights
• Spamming, phishing, or engaging in other malicious activities
• Attempting to manipulate prices, ratings, or reviews
• Using automated systems (bots) to access or interact with the Services
• Collecting or harvesting user data without consent
• Interfering with or disrupting the Services or servers
• Bypassing security measures or access restrictions
• Posting sexually explicit or inappropriate content
• Impersonating others or misrepresenting affiliations
• Violating any applicable laws, regulations, or university policies

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending or terminating accounts, and reporting to law enforcement.

Marketplace Terms

Listings

When creating a marketplace listing, you represent and warrant that:

• You have the right to sell the item or service
• The item is accurately described with truthful information
• The item complies with all applicable laws and regulations
• You will honor the terms of any sale initiated through the platform

Transactions

iWantIt facilitates connections between buyers and sellers but is not a party to any transaction. We do not guarantee the quality, safety, or legality of items listed, the truth or accuracy of listings, or the ability of sellers to complete sales or buyers to complete purchases. Users are solely responsible for their transactions with other users.

Payment and Fees

Payments are handled directly between buyers and sellers. We may introduce transaction fees or premium features in the future, for which users will be notified in advance.

Prohibited Items

The following items may not be sold on the marketplace:

• Illegal drugs, controlled substances, or drug paraphernalia
• Weapons, ammunition, or explosives
• Stolen goods or counterfeit items
• Alcohol or tobacco products (unless permitted by local laws)
• Prescription medications or medical devices
• Academic dishonesty services (essay writing, exam answers, etc.)
• Sexually explicit materials or services
• Live animals
• Items that violate intellectual property rights

Content and Intellectual Property

Your Content

You retain ownership of content you post on iWantIt ("User Content"). However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content in connection with operating and improving the Services.

You represent and warrant that:

• You own or have the right to post your User Content
• Your content does not violate any third-party rights
• Your content complies with these Terms and applicable laws

Our Content

The Services, including all text, graphics, logos, images, software, and other content (excluding User Content), are owned by iWantIt and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without express written permission.

Disclaimers and Limitations of Liability

"As Is" Services

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

User Interactions

WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF USERS OR THE CONTENT THEY POST. WE DO NOT ENDORSE ANY USER CONTENT OR GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE PLATFORM. YOU USE THE SERVICES AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IWANTIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your content or data

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS.

Indemnification

You agree to indemnify, defend, and hold harmless iWantIt, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Your transactions with other users

Dispute Resolution and Arbitration

Informal Resolution

If you have any dispute with us, you agree to first contact us at legal@iwantit.app and attempt to resolve the dispute informally for at least 30 days before initiating any formal proceedings.

Binding Arbitration

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in San Francisco, California, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, harmful, or illegal activity
• Loss of student eligibility
• Extended periods of inactivity
• Request by law enforcement or government agencies

You may terminate your account at any time through the app settings. Upon termination, your right to access and use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email, through the app, or by posting a notice on our website. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services and may terminate your account.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us, constitute the entire agreement between you and iWantIt regarding the Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or technical failures.
